Terms of Service

These Terms form a contract between Almero Pty Ltd (ABN 76 054 038 489), PO Box 372, Heidelberg, Victoria 3084, Australia, and the person or organisation accepting them. They apply to almero.ai and the AI Black Belt Agent. Account creation and checkout use affirmative clickwrap with direct links to these Terms and the Privacy Policy. Almero records the user/account, timestamp, click event and document versions. If acting for an organisation, you confirm authority to bind it.

Service
Almero provides a hosted Lean Six Sigma practitioner tool that guides projects, runs analytical tools and generates documents and presentations. Features may evolve. We will not materially reduce core paid functionality during a paid period without reasonable notice, except where needed for security, law or urgent risk.

Eligibility and accounts
You must be at least 18, provide accurate information, safeguard credentials and promptly report suspected compromise. Accounts are for one named user unless the plan says otherwise. You are responsible for authorised activity and for configuring exports, sharing and deletion.

Trials, subscriptions and renewal
A stated free trial ends automatically unless checkout clearly says otherwise. Paid subscriptions are billed in advance and renew for the disclosed period until cancelled. Checkout clearly shows price, taxes, billing frequency, renewal and cancellation method before purchase. You may cancel in account settings; cancellation takes effect at period end. Price changes require at least 30 days notice and apply no earlier than the next renewal.

Consumer cancellation and refunds
Nothing in these Terms excludes non-excludable consumer rights. Australian consumers retain Australian Consumer Law guarantees and remedies. A UK consumer who purchases online may cancel within 14 days after the contract is made without giving a reason. Almero provides access immediately but does not ask the consumer to waive or reduce that right: if a UK consumer cancels during that period, Almero will stop the subscription and refund all subscription charges paid for the cancelled contract. The consumer may use the UK cancellation form below or send any clear statement to enquiry@almero.ai. Almero will confirm the contract and this cancellation information by email or another durable medium. US residents retain mandatory state and federal rights. Refunds are otherwise unavailable for a partially used period unless required by law or expressly offered.

Acceptable use
Do not use the Service unlawfully; interfere with or bypass security; reverse engineer except where law prohibits restriction; scrape or resell the Service; upload malicious, infringing or unlawfully obtained content; submit special-category, health, biometric, children’s, payment-card, government-ID or other highly sensitive personal data unless Almero has expressly agreed appropriate safeguards; or use outputs as the sole basis for decisions producing legal or similarly significant effects about a person.

Customer content and privacy
You retain rights in content you submit. You grant Almero and its processors a limited licence to host, copy, transmit, transform and generate outputs from content solely to provide, secure and support the Service and comply with law. You must have all rights, notices and lawful bases needed to submit content. The Privacy Policy covers Almero’s controller processing. For business customers whose personal data Almero processes on their behalf, the DPA applies and controls to the extent of conflict on data protection.

Confidentiality
Each party must protect the other’s non-public business information using reasonable care and use it only for this agreement. Duties do not cover information that is public without breach, already lawfully known, independently developed or lawfully received without restriction. Legally compelled disclosure must be limited and notified in advance where lawful.

Intellectual property and outputs
Almero owns the Service, software, interfaces, prompts, tool library, templates and methodology. Subject to these Terms, we grant a limited, non-exclusive, non-transferable, revocable right to use the Service during the subscription. As between the parties, you own your inputs and Almero assigns to you any rights it may have in outputs generated specifically for you, excluding Almero materials embedded in them. Outputs may not be unique; you must review them and secure any needed third-party rights.

AI and professional responsibility
Outputs may be incomplete, inaccurate or unsuitable. The Service assists, but does not replace, qualified professional judgment. It does not provide legal, financial, medical, safety or engineering advice. You are responsible for validation, decisions, human review and compliance with laws and professional standards.

Third-party providers
Almero uses disclosed hosting, payment and model-inference providers. Their processing is governed by our Privacy Policy and, where applicable, DPA. A provider outage may affect the Service. We remain responsible for our contractual obligations and do not make you a party to provider terms merely by using the Service.

Security and incidents
Almero maintains reasonable risk-based safeguards and an incident response process. You must use reasonable account security. Security descriptions are not warranties of absolute security. Breach notices will be provided as required by applicable law and the DPA.

Suspension and termination
You may cancel at any time. We may suspend or terminate for material breach, non-payment, unlawful use or a credible security risk, with notice and a reasonable cure opportunity where practicable. Immediate action is permitted for urgent harm or legal necessity. Before normal expiry, you may export available content. Retention and deletion follow the Privacy Policy and DPA.

Warranties
We provide the Service with due care and skill and substantially as described. To the maximum extent lawful, other implied warranties are excluded. The Service is not guaranteed uninterrupted, error-free or fit for an undisclosed purpose. Mandatory consumer guarantees remain.

Liability
Nothing excludes liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, death or personal injury caused by negligence where applicable, or mandatory consumer remedies. Subject to that, neither party is liable for indirect or consequential loss or loss of profits, revenue, goodwill or anticipated savings. Almero’s aggregate liability is capped at fees paid or payable in the 12 months before the event. Any limitation is reduced or disapplied to the extent required for fairness or mandatory law. Customer liability for misuse, infringement or unlawful content is not automatically unlimited; ordinary causation and mitigation rules apply.

Governing law and disputes
Victorian law governs and Victorian courts have non-exclusive jurisdiction. This does not deprive consumers of mandatory protections or courts available in their country or state of residence. Before proceedings, contact enquiry@almero.ai so the parties can try good-faith resolution. Statutory regulator and small-claims rights remain.

Changes and general terms
Material changes receive at least 30 days notice and normally apply at renewal. Changes required urgently for law or security may apply sooner with notice. If a provision is unenforceable it is modified only as necessary. Failure to enforce is not waiver. You may not assign without consent; Almero may assign with a merger, reorganisation or sale if protections are not materially reduced. Electronic notices may be sent to the account email.
